Clickthings Labs provides enterprise AI services including:

• AI Architecture Design: Custom cognitive architecture design and consulting services
• Autonomous System Deployment: Edge AI gateway deployment, cloud sandbox provisioning, and infrastructure setup
• AI Workforce Governance: Compliance frameworks, audit systems, and governance controls

Our services are designed for enterprise use and require professional consultation and implementation.

3. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information about your organization and requirements
• Ensure you have the necessary authority and permissions to engage our services
• Comply with all applicable laws and regulations regarding AI deployment in your jurisdiction
• Maintain appropriate security measures for systems we deploy or manage
• Use our services only for lawful purposes consistent with these Terms

4. Service Agreements

Specific services are governed by individual service agreements that outline scope, deliverables, timelines, and fees. In the event of a conflict between these Terms and a specific service agreement, the service agreement shall prevail.

5. Intellectual Property

All intellectual property, including but not limited to designs, architectures, methodologies, and documentation created by Clickthings Labs in the course of providing services remains our property unless otherwise agreed in writing. Client materials and data remain the property of the client.

6. Confidentiality

We agree to maintain the confidentiality of proprietary information shared during our engagement. This includes business strategies, technical specifications, and any information marked as confidential. We will not disclose such information to third parties without your consent, except as required by law.

7. Limitation of Liability

To the maximum extent permitted by law:

• Our services are provided "as is" without warranties of any kind, express or implied
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from our services shall not exceed the fees paid for the specific service giving rise to the claim
• We are not responsible for outcomes resulting from client modifications to deployed systems

8. AI Systems Disclaimer

AI systems deployed through our services are autonomous agents that perceive, reason, and act independently within defined parameters. While we implement safety measures, audit trails, and governance controls, the autonomous nature of these systems means that:

• Outcomes may vary based on environmental factors and input data
• Continuous monitoring and governance oversight is the client's responsibility post-deployment
• We recommend maintaining human oversight and kill switch access as appropriate

9. Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise stated, invoices are due within 30 days of issuance. Late payments may incur interest at a rate of 1.5% per month or the maximum permitted by law.

10. Termination

Either party may terminate a service agreement with 30 days written notice. Upon termination:

• All outstanding fees for services rendered become immediately due
• Confidentiality obligations survive termination
• We will provide reasonable assistance in transitioning services as agreed

11. Governing Law

These Terms are governed by the laws of Singapore. Any disputes arising from these Terms or our services shall be resolved through arbitration in Singapore, in accordance with the rules of the Singapore International Arbitration Centre.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the updated Terms.
